UKIT AFFILIATE PROGRAM
This Agreement is a public offer and governs relations between the Affiliate and uKit, as well as determines the terms and procedure of participation in the Affiliate Program.
In accordance with article 438, paragraph 3 of the Civil Code of the Russian Federation, acceptance of the offer is equivalent to concluding an agreement on the terms and conditions set forth in the offer.
The current version of the Agreement is published on the uKit website at the address https://affiliates.ukit.com/agreement_en and is obligatory for the Affiliate to review, without exception, prior to accepting the Agreement.
Conclusive actions with the aim of using the uKit Affiliate Program shall be considered to be an acceptance of this Agreement. From the moment of submitting an application for participation in the Affiliate Program by the Affiliate and gaining access to the personal account in the Affiliate Program, the terms of the Agreement shall be binding on the Affiliate.
1. TERMS AND DEFINITIONS
1.1. The terms and definitions used in this Agreement are as follows:
Affiliate Program is a program to bring Users by an Affiliate on the terms of this Agreement.
Service means a software package available on the Internet at the website address https://ukit.com/. The Service includes but is not limited to the set of information, texts, graphical elements, designs, images, photos and videos, and other intellectual properties, as well as computer programs contained in the information system, which makes such information available on the Internet at the website address https://ukit.com/.
Registration is a procedure during which the Affiliate provides accurate personal data, including the username and password in the form approved by the Service. The Registration shall be deemed completed only if the Affiliate passes successfully all of its stages, including the verification that is performed by clicking on the unique link sent to the email address provided by the Affiliate. The activation of the link by the Affiliate shall be considered the moment when the Affiliate and uKit enter into this Agreement, in other words, full and unconditional consent of the Parties to the terms of this Agreement.
Affiliate is an Affiliate Program participant, a person who has accepted this Agreement.
User is a person who registered for the Service by clicking on a Banner or Referral link.
Affiliate Program Interface is a system of tools provided by uKit to an Affiliate when they enter their login and password to fulfill this Agreement.
Referral link is a link containing a special code that allows identifying that the User visited the ukit.com website using the Affiliate’s invitation. Referral links are automatically generated by the system for each Affiliate. Each Referral Link is unique, there can be no two identical links.
Banner is a graphic block on the Affiliate's website. When clicking on the Banner, you follow the Referral link.
Traffic is a total number of Users automatically recorded by the system when following the Referral link or Banner and tracked by the system in the Affiliate Program Interface.
1.2. All of the other terms and definitions within the text of this Agreement shall be construed by the Parties according to the laws of the Russian Federation, and generally accepted construction rules of corresponding terms as it is established on the Internet.
1.3. Paragraph (clause) titles, as well as the structure of the Agreement, are intended exclusively for easy reference of the Agreement text and do not have literal legal meaning.
2. SUBJECT OF THE AGREEMENT
2.1. This Agreement is a public offer and governs relations between the Affiliate and uKit, as well as determines the terms and procedure of participation in the Affiliate Program.
2.2. In accordance with this Agreement, uKit offers the Affiliate to bring Users to the Service by using the Banner and Referral links under this Agreement on the following conditions:
2.3. To join the uKit Affiliate Program, an Affiliate shall register on the target page of the Affiliate Program at the website address https://affiliates.ukit.com, as well as confirm the email address. After confirming the email address, the Affiliate gets access to the Affiliate Program Interface.
2.4. Materials for posting (including Banner codes and Referral links), as well as the system of statistics on visits, registrations, and payments made by Users in real time are displayed in the Affiliate Program Interface.
2.5. The Affiliate gets access to the uKit Affiliate Program Interface by logging in after entering their personal username and password.
3. RIGHTS AND OBLIGATIONS. GUARANTEES
3.1. Rights of the Affiliate:
3.1.1. The Affiliate has the right to place the Banner and/or Referral link in a way not prohibited by this Agreement, as well as by the applicable international and national law.
3.1.2. The Affiliate has the right to contact uKit to resolve issues related to the Service and uKit Affiliate Program in accordance with this Agreement.
3.1.3. The Affiliate has the right to have their personal data secured to the extent that can be ensured by uKit under the applicable International and Russian laws.
3.2. Obligations of the Affiliate:
3.2.1. The Affiliate shall fulfill this Agreement reasonably, shall not violate the applicable international and national law, as well as the rights and legitimate interests of third parties.
3.2.2. The Affiliate shall make all reasonable efforts to ensure safety of the login data to the uKit Affiliate Program Interface from third parties. In case of the loss of the login data to the uKit Affiliate Program Interface and/or gaining access to such data by third parties, the Affiliate shall inform uKit about it immediately.
3.3. Obligations of uKit:
3.3.1. uKit shall make full payouts to the Affiliate in a timely manner in accordance with this Agreement.
3.3.2. uKit shall make all reasonable efforts to maintain the Service and parts of the uKit Affiliate Program Interface in a good working order.
3.3.3. uKit shall provide full technical support on issues related to the uKit Affiliate Program and the fulfillment of this Agreement.
3.3.4. uKit shall ensure confidentiality and safety of the registration data received from the Affiliate, except when such disclosure happens through no fault of uKit, or in cases stipulated by the applicable national or international laws.
3.3.5. uKit shall not pre-moderate the ways of placing the Banners and Referral links of the Affiliate and is under no circumstances liable for their compliance with the requirements of the applicable international and national law, or for possible infringement of the rights of third parties due to the Affiliate’s actions.
3.4. Rights of uKit:
3.4.1. uKit has the right to suspend access to the Service and the uKit Affiliate Program Interface for any periods necessary for scheduled maintenance or restoration works on the hardware with prior notification to the Affiliate.
3.4.2. uKit has the right to request additional information about the Affiliate including scanned copies of the Affiliate’s documents to verify their identity. uKit has the right to provide the Affiliate's personal data upon request of the competent public authority in accordance with the applicable international and national law.
3.4.3. uKit has the right to suspend the fulfillment of this Agreement by disabling Affiliate's access to the uKit Affiliate Program Interface in case the Affiliate violates the terms of this Agreement.
3.5. Guaranties the parties:
3.5.1. uKit guarantees that it will make full payouts to the Affiliate in a timely manner in accordance with this Agreement.
3.5.2. uKit does not guarantee the absence of technical errors in the work of the Service and the Affiliate Program and the functioning of payment systems that are used for making payouts to the Affiliate.
3.5.3. The Affiliate guarantees that they are 18 (eighteen) years old or of legal age in the jurisdiction in which they reside and have legal competence to enter into a legally binding Agreement on their behalf or on the behalf of a natural or legal person in whose interests they enter into this Agreement.
3.5.4. The Affiliate guarantees the accuracy of the data provided at the Registration, understands and agrees that the consequences of providing false or inaccurate information may lead to problems in the implementation of this Agreement, and the responsibility for that lies entirely with the Affiliate.
3.5.5. The Affiliate understands that uKit does not provide legal advice regarding the legislation or requirements that apply to the Affiliate, as well as regarding the Affiliate's compliance with the current laws and requirements.
3.5.6. The Affiliate agrees to reimburse uKit for any losses incurred by uKit in connection with the Affiliate using the Service in such a way as to breach either this Agreement or the rights of third parties.
4. REFERRAL CRITERIA
4.1. Referral links and Banners can be placed on any website page on the Internet viewed by potential Referrals in a way not prohibited by this Agreement, as well as by international and national law.
4.2. Referral links can be placed on social networks: on a personal account and on thematic community pages; on common and thematic forums, in messages and/or in the Affiliate’s personal signature; in the statuses of instant messaging programs (Skype, ICQ, Mail.ru Agent, etc.). It is allowed to publish thematic articles containing Referral links; and Banners and Referral links can also be placed on your own website, blog, etc.
4.3. uKit allows using the following Traffic sources:
- websites
- doorway pages
- teaser ads
- targeted ads
- social media
- newsletters (subject to approval by uKit).
4.4. uKit does not allow to use the following Traffic sources:
- CashBack means using your personal accounts to receive compensation for expenses.
- ClickUnder is a system that automatically refers a user to a page when they click on any area of the screen.
- PopUnder means using Traffic generated by banner or click exchange systems.
- Context ads.
Referral links should not be spread as spam.
It is prohibited to provide Users with misleading information about the characteristics, quality and right holder of the Service, and to provide Users with false information about the Service.
4.5. In the event the Affiliate violates provisions of this Section, uKit has the right to disconnect the account from the referral program and block the balance without prior notice.
5. AFFILIATE COMMISSION STRUCTURE
5.1. The affiliate program’s payout amount is 30% of payments of the Users referred by the Affiliate through Banners and Referral links.
5.2. The Parties have agreed that the affiliate program’s payout amounts are calculated from the total number of payments made by Users whose accounts passed the 14 (fourteen) day guarantee period.
5.3. Payouts are made on the Affiliate’s request, the minimum amount being $50. The funds are held in the system for 14 (fourteen) days. After that, the Affiliate can withdraw the funds by any available means.
5.4. Affiliate's payouts are put on hold by uKit for 2 (two) days upon the Affiliate’s request to uKit.
5.5. Payouts are made by uKit using two payment options at the Affiliate’s choice:
- PayPal
- Webmoney
5.6. The affiliate program’s payout amounts are calculated in US dollars (USD) or Russian rubles (RUB) at the Affiliate's choice. The amount that should be paid in rubles is determined by the official foreign currency exchange rate on the day of payment. The affiliate program’s payout amounts are paid upon the Affiliate’s request with the desired currency specified.
6. PRIVACY POLICY
6.1. Certain segments of the Affiliate Program require the provision, collection and (or) use of personal details. Particularly, when granting access to the uKit Affiliate Program Interface and the right to use it, certain Users’ data are accessed and used. You can learn more about the uKit Privacy Policy at https://ukit.com/privacy.
7. SETTLEMENT OF DISPUTES
7.1. To resolve issues related to the uKit Affiliate Program and fulfillment of this Agreement, the Affiliate may contact us using the following methods:
- ticketing system in the Affiliate Program Interface round-the-clock.

7.2. All disputes and claims shall be regulated based on the provisions of this Agreement. In the event the claim or dispute cannot be settled, the claim or dispute shall be handled according to procedures established by the applicable law.
7.3. Any questions, comments, and other correspondence should be sent by the Affiliate to uKit as a message through the contact form specified in paragraph 7.1 of this Section. uKit shall not be responsible for, and shall not guarantee, a response to inquiries, questions, suggestions or other information sent to the Licensor in any other way.
7.4. Claims that arise in connection to the Agreement should be sent to uKit as a message through the contact form. uKit shall review the claim within 10 (ten) business days and, if necessary, send a message outlining the company's position to the email address specified in the claim. Claims by persons whom it is not possible to identify on the basis of the provided registration data (including anonymous claims) shall not be considered by uKit. If the complainant does not agree with the reasons given by uKit in response to the claim, the settlement procedure is to be repeated by means of the complainant sending a reasoned response by registered mail with return receipt. In the event that the claim cannot be settled through negotiation, the dispute is to be resolved in the order set by this Agreement.
7.5. uKit and the Affiliate agree that any disputes arising in connection with this Agreement shall be resolved by the parties according to the norms of the Russian and international law and shall be considered at the location of uKit.
8. TERM OF THE AGREEMENT
8.1. This Agreement is concluded between the Parties for an indefinite period.
9. ADDITIONAL PROVISIONS
9.1. The current version of this Agreement is published on the Internet at https://affiliates.ukit.com/agreement_en.
9.2. uKit reserves the right to unilaterally, and without prior notice, change the terms of the Agreement by publishing a new, definitive version of the Agreement at https://affiliates.ukit.com/agreement 10 (ten) days prior to its effective date. The provisions of the new edition of the Agreement shall be binding on all participants of the Affiliate Program.
9.3. To eliminate issues related to the amendment of this Agreement, uKit recommends that the Affiliate periodically review the current version of this Agreement.
9.4. The Affiliate confirms that they have read all provisions of the Agreement, understand and accept them.
